Terms of Service

The following Terms of Service ("Terms") are a legal agreement between you ("you" or "your") and Dashi POS Inc. ("Dashi," "we," "us" or "our") and govern your access to and use of our services, which include any websites, applications, 3D menu experiences, digital ordering features, or any other ways Dashi allows you to engage with us directly or through a Merchant that uses Dashi (collectively, part of the "Services").
By accessing and/or using any of the Services, you agree to these Terms and any other policies or terms referenced within or posted throughout the Services. You also acknowledge that you have read and understand our Privacy Policy.
FROM TIME TO TIME WE MAY UPDATE OR MODIFY THESE TERMS OF SERVICE. Such updates may be required to reflect enhancements to our Services or changes in applicable law. If our changes reduce your rights or increase your responsibilities, we will provide you with notice by email or through our Services. The updated Terms will become effective as of the date indicated in the Terms ("Effective Date").
If you are an individual, you must be at least 18 years of age and legally capable of entering into contracts. If you are an entity, organization, or company, you represent that you are an authorized representative and have the authority to bind it to these Terms.
1. Services
Dashi provides technology services to Merchants to enable dining customers ("Guests") to place orders for food, beverages, and related products and services provided by the Merchants ("Purchases") and facilitates payment to the Merchants by the Guests for those purchases with an eligible Payment Method ("Payment Transactions").
Our Services Include:
- Point-of-Sale (POS) System: Complete restaurant management platform
- 3D Interactive Menus: Immersive menu experiences with 3D food models
- Digital Ordering: Online ordering, pickup, and delivery services
- Gamified Loyalty Programs: Spin-to-win and points-based loyalty systems
- Payment Processing: Secure payment transactions and processing
- Analytics Dashboard: Real-time insights and reporting tools
- Mobile Applications: Both merchant and guest-facing apps
- Customer Support: 24/7 support and training services
2. Accounts and Registration
Creating an Account
When you use Dashi's digital ordering services or create a merchant account, you can register and create a Dashi account. If you create an account, you may save your payment information and preferences to make future transactions faster and easier.
Account Information
When you create an account, we will ask you for certain personal information such as your name, mobile number, and email address. You agree to provide true, accurate, current and complete information for your account registration, and you agree not to misrepresent your identity or your payment information.
Account Security
Only you have the right to access and use your account. You are responsible for ensuring that your login information and payment information remain confidential at all times. If you become aware of unauthorized use of your login or payment method, you agree to notify Dashi immediately at support@dashipos.com.
Important: Dashi may, in its sole discretion, terminate or refuse to approve registrations for accounts with or without cause or notice, other than any notice required by applicable law.
3. Purchases and Payments
Payment Processing
Dashi makes available the Services and processes Payment Transactions for Purchases on behalf of Merchants. When you make a Purchase, you authorize Dashi, as agent for the Merchant, to submit the charge in the amount of the Purchase (including any gratuities, fees and taxes) to your Payment Method.
Payment Methods
You must provide a valid Payment Method to pay for your Purchases. You authorize Dashi to confirm your Payment Method is in good standing with the issuing financial institution. Accepted payment methods include:
- Credit and debit cards (Visa, Mastercard, American Express)
- Digital wallets (Apple Pay, Google Pay)
- Other payment methods as made available
Transaction Limits
We may establish limitations concerning use of the Services, including individual or aggregate transaction limits. We may decline to process any Payment Transaction without notice to you if we believe the transaction is invalid, suspicious, involves misconduct or fraud, or otherwise violates applicable law.
4. Permitted Activities
By using the Services, you agree that:
- You will not use the Services in any way that violates applicable laws, these Terms, or any other policies
- You may only use the Services to make legitimate Purchases from a Merchant
- The information you provide does not infringe on anyone else's intellectual property rights
- You will not upload or transmit any content that contains viruses or harmful programs
- You will not provide false information or impersonate any other person
- You will not attempt to gain unauthorized access to any portion of our Services
- You will not interfere with other users' use and enjoyment of the Services
Violation Notice: Dashi may suspend or terminate your use of the Services at its sole discretion for any actual or suspected violation of these limitations.
5. Fees
As of the date of these Terms, Dashi does not charge Guests fees to make Purchases from Merchants using Dashi Services. We reserve the right to charge fees in the future, and any fees applicable to a Purchase will be clearly disclosed to you prior to completion.
Merchant Fees
Merchants may charge fees, taxes, and allow gratuities in addition to the price of products or services. By making a Purchase, you agree to pay all such charges. All amounts will be displayed to you before you complete your Purchase.
Service Pricing
Transparent Pricing: Our merchant fees are competitive and transparent:
- Monthly fee starting at $X CAD
- Processing fees from 2.4% + 15¢
- No contracts or cancellation fees
- Free setup and training included
6. Data Privacy and Security
The privacy and security of your personal information is important to us. Dashi's Privacy Policy describes what information we collect about you, how we may use personal information and the security measures we have taken to protect your personal information.
Data Security
We implement industry-standard security measures to protect your data, including:
- End-to-end encryption for all transactions
- PCI DSS compliance for payment processing
- Regular security audits and monitoring
- Secure data centers with 99.9% uptime
7. Disclaimers and Limitations
Service Availability
While we strive to provide reliable service, the Services are provided on an "as is" and "as available" basis. We do not guarantee that the Services will be uninterrupted, error-free, or completely secure.
Merchant Responsibility
You acknowledge that each Merchant is solely responsible for all aspects of their day-to-day operations, including provision of food and beverages, service quality, and compliance with applicable laws. Dashi is not responsible for any Merchant service issues.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DASHI'S AGGREGATE LIABILITY TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO ONE HUNDRED DOLLARS ($100 CAD). DASHI WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

Additional Information
Promotions and Loyalty Programs
When you participate in loyalty programs or use promotional codes, you may be eligible for discounts or rewards subject to specific terms and conditions. Promotional values may be issued by Dashi or by a Merchant.
Force Majeure
Dashi will not be liable for any failure or delay resulting from any condition beyond its reasonable control, including but not limited to governmental action, natural disasters, power failures, or Internet disturbances.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
