The following Terms of Service ("Terms") are a legal agreement between you ("you" or "your") and Dashi POS Inc. ("Dashi," "we," "us," or "our") and govern your access to and use of our services as a guest, diner, or consumer — including any websites, applications, 3D menu experiences, digital ordering features, loyalty programmes, reservation and waitlist tools, or any other ways Dashi allows you to engage with us directly or through a Merchant that uses Dashi (collectively, the "Services").
By accessing or using any of the Services, you agree to these Terms and any other policies referenced within. You also acknowledge that you have read and understand our Privacy Policy.
If you are a restaurant, café, bar, or other food-service establishment, your use of Dashi's platform is governed by our Merchant Terms of Service.
1. About the Services
Dashi provides technology services to restaurants, cafés, bars, and other food-service establishments ("Merchants") to help them manage reservations, waitlists, orders, payments, loyalty programmes, and guest engagement. As a guest or diner, you may interact with Dashi's Services in two ways:
At a Merchant's establishment: When you make a reservation, join a waitlist, place an order, or provide your information to a Merchant through the Services, the Merchant is responsible for that data and your experience. Dashi is the technology provider.
Directly with Dashi: When you create a Dashi account, join a Dashi loyalty programme, or use Dashi's consumer features, you enter a direct relationship with Dashi governed by these Terms.
2. Accounts and Registration
Creating a Dashi Account
You may create a Dashi account (a "Dashi Diner Profile") to access features such as loyalty programmes, rewards, saved preferences, and (where you opt in) cross-venue visit history. Creating an account is optional — you can use Merchant services like reservations and ordering without a Dashi account.
What a Dashi Diner Profile Includes
When you create a Dashi Diner Profile, Dashi stores your name, contact information, loyalty programme participation, rewards, communication preferences, and (only with your explicit opt-in) your visit history across participating venues.
How This Differs from Merchant Data
Your Dashi Diner Profile is your account with Dashi. It is separate from the guest records that individual Merchants maintain. When you make a reservation at a restaurant, that restaurant collects your information for its own purposes. If you also create a Dashi Diner Profile, you are additionally entering a relationship with Dashi. Both can exist at the same time, and you control your Dashi account independently.
Account Information
When you create an account, you agree to provide true, accurate, and current information. You are responsible for keeping your login credentials confidential. If you become aware of unauthorized use of your account, notify Dashi immediately at support@dashipos.com.
Account Termination
You may delete your Dashi Diner Profile at any time through your account settings or by contacting us. Upon deletion, Dashi will remove your account data in accordance with our Privacy Policy. Dashi may also suspend or terminate accounts that violate these Terms.
3. Loyalty Programmes and Rewards
Merchant Loyalty Programmes
Some Merchants offer loyalty programmes through the Services. When you join a Merchant's loyalty programme, you may be asked to provide your contact information and consent to receive Marketing Communications from that Merchant. The Merchant is responsible for its loyalty programme terms, marketing compliance, and the rewards it offers.
Dashi Loyalty Network
If Dashi offers a consumer loyalty network or rewards programme, participation is governed by these Terms and any programme-specific terms presented at enrolment. Dashi rewards are provided by Dashi and are separate from any Merchant loyalty programmes.
Consent for Loyalty and Marketing
Joining a loyalty programme through a Dashi sign-up page or QR code may involve two distinct consents:
(a) Merchant marketing consent — agreeing to receive promotional communications from the specific Merchant (controlled by the Merchant under CASL); and
(b) Dashi Diner Profile consent — agreeing to create a Dashi account so that Dashi can provide you with loyalty features, visit history, and Dashi communications.
These consents are presented separately so you can choose one, both, or neither.
4. Reservations, Waitlists, and Orders
When you make a reservation, join a waitlist, or place an order through the Services, you are transacting with the Merchant. Dashi facilitates the technology, but the Merchant is responsible for honouring reservations, preparing orders, food quality and safety, service quality, and compliance with applicable laws.
5. Purchases and Payments
Payment Processing
Dashi processes payments on behalf of Merchants. When you make a purchase, you authorise Dashi, as agent for the Merchant, to submit the charge (including any gratuities, fees, and taxes) to your payment method.
Payment Methods
Accepted payment methods include credit and debit cards (Visa, Mastercard, American Express), digital wallets (Apple Pay, Google Pay), and other methods as made available. You must provide a valid payment method and authorise Dashi to confirm it is in good standing.
Transaction Limits
We may establish transaction limits and may decline to process any transaction we believe is invalid, suspicious, or in violation of applicable law.
6. Marketing Communications
From Merchants
Merchants may send you Marketing Communications (promotional offers, events, loyalty updates) if you have given valid consent. Under Canadian law (CASL), you have the right to:
- Opt out at any time using the unsubscribe link in emails, replying "STOP" to SMS messages, or contacting the Merchant directly
- Have your opt-out honoured without delay and within 10 business days
- Not receive marketing without valid consent
Questions about a Merchant's marketing should be directed to that Merchant.
From Dashi
If you have a Dashi Diner Profile, Dashi may send you communications about your account, loyalty status, rewards, and Dashi features. You can manage your preferences in your account settings or by contacting us. Dashi will not send you promotional communications without your consent.
7. Your Data and Privacy
Your privacy is important to us. Our Privacy Policy describes in detail what information we collect, how we use it, who we share it with, and your rights. Key points:
- When you interact with a Merchant through the Services, the Merchant controls your guest data
- When you create a Dashi Diner Profile, Dashi controls your account data
- You can access, correct, or delete your information at any time
- We never sell your personal information
8. Permitted Activities
By using the Services, you agree that you will:
- Use the Services only for legitimate purposes
- Provide accurate information
- Not attempt to gain unauthorized access to any portion of the Services
- Not interfere with other users' use of the Services
- Not upload content containing viruses or harmful programmes
- Not use the Services in any way that violates applicable law
Violation Notice: Dashi may suspend or terminate your access for any actual or suspected violation.
9. Fees
As of the date of these Terms, Dashi does not charge guests fees to make purchases from Merchants. We reserve the right to introduce fees in the future; any fees will be clearly disclosed before you complete a transaction.
10. Disclaimers and Limitations
Service Availability
The Services are provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free service.
Merchant Responsibility
Each Merchant is solely responsible for its operations, including food preparation, service quality, pricing, and compliance with applicable laws. Dashi is not responsible for Merchant service issues.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DASHI'S AGGREGATE LIABILITY TO YOU IN ANY CIRCUMSTANCE IS LIMITED TO ONE HUNDRED DOLLARS (CAD $100). DASHI WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
11. General
Governing Law
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable therein.
Changes to These Terms
We may update these Terms from time to time. If changes materially reduce your rights, we will provide notice by email (if you have a Dashi account) or through the Services. Your continued use after the effective date constitutes acceptance.
Force Majeure
Dashi is not liable for failures or delays caused by conditions beyond our reasonable control, including natural disasters, power failures, or internet disruptions.
Severability
If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
